The share price and valuation provide the inputs needed to perform the convertible note conversion, calculating how many shares the note holder receives for his/her original "loan" to the startup.
Convertible notes also carry a discount rate that sweetens the deal for the note holder.
The note holder gets to buy the newly valued stock at a discount from the stock price associated with the valuation established with the new investors, thus getting more shares for the money.
The $150,000 convertible note holders will piggyback on the next round deal, typically receiving the same type of stock shares and other deal terms (valuation, preferred share rights, etc.) negotiated in the $3 million equity round.
